 cgi-bin recognises no file to render, cgi nor pl

WinXP SP1, Apache 2.049, ActivePerl-5.8.4.810
Embarassed Have installed and reinstalled the Apache and Active Perl 3 times today.
On each the same response, cannot find the file listed in order to spawn chil and render it. file being referenced: testcgi.pl.
I have the html calling this located in the htdocs folder,

httpd.conf setup says:
ScriptAlias /cgi-bin/ "D:/Apache Group/Apache2/cgi-bin/"

<Directory "D:/Apache Group/Apache2/cgi-bin/">
AllowOverride None
Options ExecCGI
Order allow,deny
Allow from all
</Directory>


This also tried for .cgi files, and they give same response..
Cannot find file, error page given.

suggestions...?
